Welcome to NeuroAnimation. These Website Terms of Use (the “Terms”) govern your access to and use of www.neuroanimation.com and every subdomain, page, or associated property operated by NeuroAnimation, Inc. or its affiliates (together, the “Site”). The Site is owned and made available by NeuroAnimation, Inc. (“NeuroAnimation,” “we,” “us,” or “our”) and its licensors.
Please read these Terms carefully. By accessing or using the Site in any way, you confirm that you have read these Terms and agree to be bound by them.
If you do not agree with any part of these Terms, please discontinue use of the Site immediately.
1. Acceptance of Terms and Limited License
These Terms form a binding agreement between you and NeuroAnimation. So long as you remain in compliance with them, we grant you a personal, revocable, non-exclusive, non-transferable, and limited right to access and use the Site for your own lawful informational and therapeutic purposes. All rights not expressly granted here are reserved.
2. Changes to These Terms
Accessibility is an ongoing effort. As we continue to develop our website, add new clinical evidence, and update patient resources, we regularly evaluate our digital presence to identify and resolve accessibility barriers.
3. Intellectual Property and Permitted Use
3.1 Our Materials
Every element of the Site — including (without limitation) text, graphics, images, photographs, animations, audio, video, therapy modules, user interfaces, visual designs, software, source code, trademarks, service marks, and logos (collectively, the “Content”) — together with the selection, coordination, arrangement, and overall “look and feel” of the Site, is owned, controlled, or licensed by NeuroAnimation. The Content is protected by U.S. and international copyright, trademark, trade dress, patent, and other intellectual property and unfair competition laws.
3.2 What You May Do
You may view, browse, and (where the Site makes this possible) download or print materials we have intentionally made available, provided that you:
- Keep all copyright, trademark, and other proprietary notices intact;
- Use the materials only for your personal, non-commercial, informational purposes;
- Do not republish, post, or share the materials on any other site, server, or networked computer;
- Do not modify, adapt, translate, or attempt to reverse-engineer any materials; and
- Do not add representations or warranties of your own to any materials you download.
3.3 What You May Not Do
Except as expressly authorized in Section 3.2 or in a separate written agreement with us, you may not copy, reproduce, republish, post, upload, transmit, publicly display, encode, translate, “mirror,” or otherwise distribute any portion of the Site or any Content — in any medium, and for any purpose, commercial or otherwise — without our prior written consent.
4. Acceptable Use
You agree to use the Site only for lawful purposes and in a manner that does not infringe on anyone else’s rights or restrict any other user’s enjoyment of the Site. In particular, you agree that you will NOT:
- Automated access. Use any scraper, crawler, robot, spider, automated agent, deep-linking tool, or comparable manual technique to harvest, copy, monitor, or interfere with any portion of the Site or its Content, or to obtain materials by means other than the Site’s intended interface;
- Unauthorized access. Attempt to gain unauthorized access to the Site, any of our servers, any therapy service, or any system or network connected to the Site — whether by hacking, credential guessing, exploiting vulnerabilities, or other illegitimate means;
- Security testing. Probe, scan, or test the vulnerability of the Site or any connected network, or attempt to defeat any security or authentication feature;
- Identity tracing. Trace, reverse-look-up, or otherwise seek to identify any other user, visitor, account holder, or NeuroAnimation client, or attempt to access any account, personal information, medical history, or health data that is not your own;
- Disproportionate load. Take any action that imposes an unreasonable or disproportionately large burden on the Site’s infrastructure, our systems, or any connected network;
- Disruption. Introduce or use any device, software, or process designed to disrupt the Site, any therapy session conducted through it, or any other user’s experience;
- Spoofing. Forge headers, manipulate identifiers, or otherwise disguise the source of any communication you send to us through the Site;
- Impersonation. Impersonate any person or entity, or misrepresent your affiliation with any person or entity; or
- Unlawful use. Use the Site, or any Content obtained through it, for any purpose that is unlawful, fraudulent, harmful, or otherwise prohibited by these Terms.
We reserve the right to investigate and respond to any actual or suspected violation, including by suspending your access or pursuing legal remedies.
5. Therapy Services and Medical Disclaimer
5.1 What We Provide
NeuroAnimation develops and offers cognitive therapy services and digital therapeutic tools. We do not manufacture, sell, or distribute physical consumer products or hardware.
Specific therapy programs, subscriptions, client agreements, or premium features may carry their own separate terms (each, a “Program Agreement”), which are incorporated into these Terms by reference. Where a Program Agreement conflicts with these Terms, the Program Agreement controls for the program or feature it covers. By enrolling in any such program, you represent that you are of legal age and have the legal capacity to consent to therapy under applicable law.
5.2 Not Medical Advice
The Content and any therapy modules offered on the Site are provided for therapeutic, educational, and informational purposes only. They are not a substitute for, and do not constitute:
- Medical advice, diagnosis, or treatment;
- Psychiatric, psychological, or neurological evaluation; or
- A doctor-patient or clinician-patient relationship.
Always consult a qualified healthcare professional for any question regarding a medical, neurological, or psychological condition. Never disregard or delay seeking professional medical advice because of something you have read, viewed, or experienced on the Site.
If you believe you are experiencing a medical emergency, contact your local emergency services immediately.
5.3 Changes to Services
We may add, remove, suspend, or modify any service, therapy module, or related pricing at any time and without notice.
6. Accounts and Security
Certain features of the Site require a registered client account. Because cognitive therapy involves sensitive personal and health information, you are responsible for:
- Maintaining the confidentiality of your account credentials, including your password;
- All activity that occurs under your account; and
- Notifying us promptly of any unauthorized access, suspected breach, or other security incident.
You may not access or use another person’s account without that person’s express permission. We are not liable for any loss or damage arising from your failure to safeguard your credentials, and you may be responsible for losses incurred by us or by other users that result from misuse of your account.
7. Privacy Policy
Your use of the Site is also subject to our Privacy Policy, which is incorporated into these Terms by reference. Please be aware that no Internet transmission is ever completely private or secure. Even where a transmission is encrypted — for example, health questionnaires, contact forms, or payment information — there is some risk that messages or data you send to or from the Site could be intercepted or read by unauthorized parties.
8. Third-Party Links and Resources
The Site may include links to independently operated third-party websites or services (“Third-Party Resources”), such as mental health resources, partner clinics, or scheduling tools. These links are offered for your convenience only. We do not control, endorse, or vouch for any Third-Party Resource, and we are not responsible for its content, privacy practices, security, or availability. Your interactions with any Third-Party Resource are at your own risk and subject to that party’s own terms.
9. Disclaimers
9.1 “As Is” Availability
THE SITE, ALL CONTENT, AND ALL THERAPY MODULES OR FEATURES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTY OF ANY KIND. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT ANY DEFECTS WILL BE CORRECTED. INFORMATION ON THE SITE IS SUBJECT TO CHANGE WITHOUT NOTICE.
9.2 No Specific Outcomes
WE MAKE NO PROMISE OR GUARANTEE THAT YOUR USE OF THE SITE, OR OF ANY THERAPY MODULE, WILL PRODUCE ANY PARTICULAR THERAPEUTIC, COGNITIVE, BEHAVIORAL, OR MEDICAL OUTCOME. INDIVIDUAL RESULTS VARY AND DEPEND ON MANY FACTORS OUTSIDE OUR CONTROL.
9.3 Full Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEUROANIMATION DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY — INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, TITLE, AND NON-INFRINGEMENT. WE ALSO DISCLAIM ANY LIABILITY FOR THE ACTS, OMISSIONS, OR CONDUCT OF THIRD PARTIES IN CONNECTION WITH THE SITE OR ANY OF OUR SERVICES. YOUR SOLE REMEDY IF YOU ARE DISSATISFIED WITH THE SITE IS TO STOP USING IT. THIS ALLOCATION OF RISK IS A MATERIAL PART OF THE BARGAIN BETWEEN YOU AND NEUROANIMATION.
9.4 Right to Modify or Suspend
We reserve the right, at any time and without notice, to: (a) change, suspend, or discontinue the Site or any portion of it; (b) update the Site, any related policy, or these Terms; and (c) take the Site offline temporarily for maintenance, error correction, or other operational reasons.
10. Limitation of Liability
EXCEPT WHERE PROHIBITED BY LAW, IN NO EVENT WILL NEUROANIMATION OR ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, CLINICIANS, AGENTS, OR AFFILIATES BE LIABLE TO YOU FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES — INCLUDING LOST PROFITS OR LOST DATA — EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
If, despite the other provisions of these Terms, NeuroAnimation is found liable for any loss or damage arising from or connected with your use of the Site or any Content, our total cumulative liability will not exceed the greater of:
- (a) The total subscription or therapy service fees you paid to NeuroAnimation in the six (6) months immediately preceding the event giving rise to the claim; or
- (b) $100 USD.
Some jurisdictions do not allow certain limitations of liability, so portions of this section may not apply to you.
11. Indemnification
You agree to defend, indemnify, and hold harmless NeuroAnimation and its officers, directors, shareholders, employees, agents, clinicians, subsidiaries, affiliates, predecessors, and successors from and against any claim, demand, loss, liability, or expense (including reasonable attorneys’ fees) brought by any third party arising out of or related to your use of the Site or your breach of these Terms.
12. Enforcement and Termination
We may take any of the following actions, in our sole discretion and without prior notice, if we determine you have violated these Terms or any other applicable agreement:
- Terminate or suspend your access to the Site;
- Block your future access; or
- Pursue any legal remedy available to us.
We may also disclose information about you (including your identity) if we determine in good faith that such disclosure is reasonably necessary to: (i) investigate a complaint, (ii) respond to legal process, (iii) enforce these Terms, (iv) defend our rights, property, or interests, or (v) protect the safety of our users, employees, or the public. We may preserve any communication you send through the Site for these purposes.
13. Governing Law and Dispute Resolution
13.1 Governing Law
These Terms, and any dispute arising out of or relating to them or the Site, are governed by the laws of the United States and of the State of Delaware, without regard to its conflict-of-laws principles.
13.2 Jurisdiction and Venue
You agree to submit to the personal jurisdiction of, and to the exclusive venue in, the state and federal courts located in Franklin County, Ohio, and you waive any objection based on inconvenient forum or lack of personal jurisdiction.
13.3 Informal Resolution and Mediation
Before filing any formal claim, you agree to first contact NeuroAnimation and attempt in good faith to resolve the dispute informally. If we are unable to resolve the dispute within thirty (30) days, either party may submit the matter to mediation. If mediation does not resolve the dispute, either party may then pursue any remedy available at law or in equity.
13.4 Time Limit on Claims
Any claim arising out of or relating to these Terms or the Site must be filed within one (1) year after the cause of action arises, or it will be permanently barred. This time limit does not apply to claims governed by a separate Program Agreement for paid therapy services.
14. International Use
NeuroAnimation operates the Site from New Albany, Ohio, United States. While the Site is accessible globally, not every feature, therapy module, or service is appropriate or available for users located outside the United States. We may limit, in our sole discretion, the availability of any feature or service to any user, region, or jurisdiction. Any offer, feature, or service on the Site is void where prohibited by law.
15. Export Compliance
You may not use, export, or re-export any Content (or any derivative or adaptation of it) or any service offered through the Site in violation of U.S. export control laws or any other applicable laws or regulations.
16. Feedback
Any feedback, suggestions, or comments you provide regarding the Site’s technical performance or user experience will be treated as non-confidential, and NeuroAnimation may use such feedback for any purpose without obligation or compensation to you. This Section 16 does not apply to protected health information or any therapy session content, which remains governed by our Privacy Policy.
17. General Provisions
Severability. If any provision of these Terms is held invalid or unenforceable by a court of competent jurisdiction, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
Entire Agreement. These Terms — together with our Privacy Policy, Media Consent, and any applicable Program Agreement — constitute the entire agreement between you and NeuroAnimation regarding your use of the Site, and supersede any prior or contemporaneous communications on that subject.
No Waiver. Our failure to insist on or enforce any provision of these Terms will not be construed as a waiver of that provision or of our right to enforce it later.
Assignment. You may not assign your rights or obligations under these Terms without our prior written consent. We may assign these Terms freely.
Headings. Section headings are provided for convenience only and have no legal effect.
